Wake to Wake × &Go Group

1. Parties
&Go Group Ltd., a company incorporated in Mauritius ("TheGoGroup"), and Wake to Wake Watersports, an operator based in Turks & Caicos ("Wake to Wake"). Together, the "Parties".
2. Recitals
Wake to Wake operates a watersports charter and rentals business currently reliant on Peek Pro. TheGoGroup operates WegoX, a multi-tenant booking and operations platform for experience providers. The Parties wish to collaborate on the migration of Wake to Wake's operations from Peek Pro to a dedicated white-labelled instance of WegoX.
3. Scope of collaboration
TheGoGroup will design, build, deploy and operate a Wake to Wake instance of WegoX in accordance with the attached Proposal (v1). Wake to Wake will act as design partner, providing operational input, real bookings for testing, and timely feedback throughout the engagement.
4. Commercial terms
The Parties will select either Option A (standard) or Option B (founding client, discounted MVP plus 3% equity in WegoX). Detailed fees, timeline and payment schedule are set out in the attached Proposal. This MOU does not itself create a binding payment obligation; a separate fixed-price SOW will be executed to give commercial effect.
5. Ownership
Wake to Wake shall own its instance data, customer records, Stripe account and customer-facing domain(s). TheGoGroup shall retain full ownership of the WegoX platform IP, including all source code, architecture, and improvements arising from this engagement, subject to Wake to Wake's right to migrate away with its own data at any time and without penalty.
6. Confidentiality
Each Party shall treat as confidential all non-public information disclosed by the other Party in connection with this engagement, and shall not disclose such information to any third party without prior written consent, save as required by law. This clause is binding and survives termination for a period of two (2) years.
7. Exclusivity
For the duration of Phase 0 and Phase 1 (approx. 10 weeks), Wake to Wake will not engage a competing third-party developer to build a replacement for Peek Pro. TheGoGroup does not commit exclusivity in respect of WegoX being licensed to other operators, save that Wake to Wake shall have founding-client status if Option B is selected.
8. Non-binding nature
Save for clauses 6 and 9, this MOU is non-binding. The Parties intend to negotiate in good faith and enter into a definitive SOW and, where required, a Software Services Agreement, within 30 days of the date of this MOU.
9. Governing law
This MOU is governed by the laws of Mauritius. The Parties submit to the exclusive jurisdiction of the courts of Mauritius in respect of any dispute arising out of or in connection with this MOU, save that TheGoGroup may accept service of process in the Republic of South Africa.
